Mainland vs free zone in the UAE: which company setup fits your business?
Mainland lets you trade anywhere in the UAE; free zones suit international, online and in-zone trade. A plain-English comparison for founders.
Every UAE company starts with one decision: mainland or free zone. The right answer depends on who your customers are and where you sell to them.
Mainland company
A mainland company is licensed by the economic department of its emirate, such as Dubai Economy and Tourism. It can trade directly with customers anywhere in the UAE and bid for many government contracts. Since 2021, 100% foreign ownership is allowed for most mainland activities.
Free zone company
A free zone company is licensed by the free zone authority. It suits businesses that trade internationally, sell online or work mainly with other free zone companies. Setup is usually faster and packages often include visas and a flexi-desk.
Tax in brief
The UAE charges 5% VAT, and corporate tax of 9% applies to taxable profit above AED 375,000. Qualifying free zone companies can benefit from a 0% rate on qualifying income if they meet the conditions. Always confirm your position with a tax adviser.
A simple rule
- Selling to UAE consumers in shops, clinics, salons or restaurants: usually mainland
- Selling services or software internationally: often a free zone
- Trading physical goods through a port or airport: a logistics free zone such as JAFZA or DAFZ
- Not sure: speak to a licensed business setup adviser before you pay
Either way, you need customers
The licence is step one. Step two is a website, business email, social profiles and a clear message for your ideal customer, so the first enquiries come in while you finish setup.
